May 7, 2019 2 Position Description for the Lead Independent Director of the Board of Directors Role The primary role of the Lead Independent Director is to ensure that the Board of Directors (the "Board") of Liminal BioSciences Inc. (the "Company") functions with appropriate independence. The Lead Independent Director coordinates the activities of the other independent Directors and performs such duties and responsibilities as the Board may determine. To facilitate the role of the Lead Independent Director and the performance of his/her duties, the Lead Independent Director shall serve as a member of the HR and Corporate Governance Committee. Independency The Lead Independent Director must be fully independent. A Lead Independent Director shall be appointed annually as long as the Chair of the Board is not an independent director within the meaning of independence within the meaning of independence as described in section 1.4 of National Instrument 52-110 – Audit Committees. Responsibilities The Lead Independent Director will: 1. chair all meetings and in-camera sessions of the independent directors and act as principal liaison between the independent directors and the Chair of the Board (the "Chair") and the Chief Executive Officer; 2. in the absence of the Chair, act as chair of the meetings of the Board;
